Webex for Developers Terms of Service
These Webex for Developers Terms of Service ("Terms of Service") govern Your (as defined below) (i) access to and use of the Webex for Developers site ("Developers Site"), (ii) use of the online Services (as defined below) provided at the Developers Site, (iii) development of applications or integrations ("Apps") using the Services, (iv) submission of Apps for listing at the Webex App Hub site ("App Hub Site"), and (v) (subject to Your terms of service, privacy policy, support and support information, and, as applicable and at Cisco’s option, Cisco's review and brief testing for compatibility with Webex) Your or Cisco’s use of Your Apps, or Cisco’s listing of Your Apps at App Hub Site, as provided below. By accessing and using the Developers Site, the Services and/or App Hub Site, you agree to be bound by the Terms of Service with Cisco Systems, Inc. ("Cisco"). If you are accepting the Terms of Service on behalf of an entity, you represent that you have the authority to do so (either you or the entity (if you are signing for an entity), "You" or "Your").
anchor1. Webex for Developers
anchorThe Developers Site available at https://developer.webex.com is a site developed by Cisco to provide users of Webex (available at https://www.webex.com) with (i) Webex SDKs, Widgets and APIs and (ii) related resources ((i) and (ii) collectively, "Services"). You can use Services to develop Apps to connect other tools to or build packaged solutions for Webex. You can submit Your Apps in the Developers Site for Cisco's review and brief testing for compatibility with Webex, and if approved by Cisco, listing at the App Hub Site.
anchor2. Webex App Hub
anchorThe App Hub Site available at https://apphub.webex.com is a site hosted by Cisco to promote Apps approved by Cisco, and to make them available for Webex users. Besides review and brief testing for compatibility with Webex, Cisco does not perform any other testing and does not warrant or support Your Apps. Webex users can access Your Apps from the App Hub Site subject to Your terms of service, privacy policy, support and support information. You are required to provide links to Your terms and policies to Cisco and maintain Your links, terms and policies for posting with Your Apps on the App Hub Site.
anchor3. Licenses
anchor3.1 By using the Services to develop Your Apps, You grant Cisco a worldwide, royalty-free, fully paid-up, sublicensable license to: (a) review and test Your Apps, (b) use Your Apps, and (c) use the trade names, trademarks, service marks, logos and domain names posted with Your Apps ("Your Names") while Your App is in use.
3.2 By submitting Your Apps to the App Hub Site, You grant Cisco a worldwide, royalty-free, fully paid-up, sublicensable license to: (a) list, publish, display and make Your Apps available at the App Hub Site, (b) remove Your Apps from the App Hub Site for violations of the Terms of Service, (c) use Your Names with Your Apps at the App Hub Site while Your App is listed on the App Hub Site, and (d) use Your Names in marketing materials and website in connection with promoting and publicizing Your App. Such use inures solely to your benefit.
3.3 Your use of the Webex SDKs and Widgets available at https://developer.webex.com is subject to the MIT License located at https://github.com/webex/spark-java-sdk/blob/master/LICENSE.
3.4 Cisco grants You a non-exclusive, non-transferable, non-sublicensable license to use Webex APIs and associated documentation available at https://developer.webex.com (“Webex APIs) to develop, test, support and use Your Apps.
3.5 Further limitations may apply as listed in documentation linked in the Services.
anchor4. Trademarks
anchor4.1 Cisco™, Webex™, and the Webex logo ("Cisco Trademarks") are trademarks and/or registered trademarks of Cisco and/or its affiliates. All third-party trademarks and logos referenced are property of their respective owners. The appearance of third-party trademarks on the Developers Site and App Hub Site does not constitute an endorsement, sponsorship or recommendation thereof by Cisco or its affiliates.
4.2 Subject to the terms and conditions of these Terms of Service, Cisco grants You a royalty-free, non-exclusive, non-transferable, non-sublicensable license to use the Cisco Trademarks solely for the purpose of identifying Your Apps as compatible with Webex. During Your use of the Cisco Trademarks, You agree to abide by A) any Cisco trademark usage guidelines that may be provided to You by Cisco and B) Cisco's trademark policy, found at https://www.cisco.com/web/about/ac50/ac47/about_cisco_policies_list.html (collectively, "Cisco's Policies"). Cisco's Policies are hereby incorporated by reference and are subject to change without notice. If Cisco determines that Your use of Cisco Trademarks does not comply with these Terms of Service or Cisco's Policies, Cisco will notify You of the deficiency and give You 14 days to remediate. If You fail to do so within the 14-day grace period, Cisco may immediately terminate the license granted under this section by giving notice to You and You will immediately cease all use of Cisco Trademarks.
4.3 You agree not to incorporate any Cisco Trademarks or portions thereof into the name or logo of Your Apps. For example purposes only, you may not use "Cisco," "Webex," "Webex Meetings" or other confusingly similar language in the title of Your Apps, or any confusingly similar logos that would imply an endorsement or sponsorship by Cisco of Your Apps.
anchor5. Use of Data
anchor5.1 Developer Data. Cisco will use all Developer Data (as defined below) You or anyone acting on Your behalf provides or transfers to Cisco in accordance with these Terms of Service and the Cisco Online Privacy Statement located at https://www.cisco.com/c/en/us/about/legal/privacy-full.html. Developer Data may be used to analyze and understand how You are using the Services and usage statistics from the App Hub Site about Your Apps. "Developer Data" means any data provided or generated by You when using the Developers Site, App Hub Site and Services and usage statistics from the App Hub Site about Your Apps.
5.2 “Webex Data” means any Cisco end-user data collected, uploaded, posted, transmitted or otherwise made available via the Services relating in any way to the end-user’s use of Cisco offerings or other Cisco cloud-enabled feature (collectively “Cisco Technology”), including messages, files, profile information. . Developer shall not collect or store any Webex Data without end-user’s authorization. You acknowledge that Cisco may collect, and process Webex Data as agreed upon between Cisco and Cisco’s end-users, including as set forth in Cisco’s Privacy Statement and applicable Privacy Data Sheets. Cisco shall not be liable for any Webex Data retained, or otherwise processed by You or Your App.
5.2 Cisco is not responsible for anything submitted by You or other users to the Developers Site, App Hub Site or for modifying or removing Your Data or Others' Data from the Developers Site or App Hub Site.
anchor6. Ownership
anchor6.1 You retain all right, title and interest in and to Your Apps, Your Names. We may use Your Apps, Your Names solely as required in connection with Your use of the Developers Site, App Hub Site and Services.
6.2 Cisco or its licensors retain ownership in all intellectual property rights to the Developers Site, App Hub Site, Services and their underlying technology, software, patents, know-how and associated documentation, in whole or in part, including all improvements, enhancements, modifications and derivative works, and any Data owned by Cisco ("Cisco Data") except for Your Data and Data of other users of the Developers Site, App Hub Site and Services ("Others' Data"). Cisco reserves all rights to the Developers Site, App Hub Site and Services that are not expressly granted under these Terms of Service.
anchor7. Feedback
anchorWe welcome Your ideas, suggestions, documents, and/or proposals ("Feedback") about the Developers Site, App Hub Site and Services and look for ways to implement them wherever possible. By submitting Feedback to Cisco, You acknowledge and agree that: (a) Your Feedback does not contain confidential or proprietary information; (b) Cisco is under no obligation of confidentiality, express or implied, with respect to the Feedback; (c) Cisco shall be entitled to use or disclose such Feedback for any purpose, in any way, in any media, worldwide; (d) Cisco may already be developing a solution or solution component related to the Feedback; (e) Your Feedback becomes the property of Cisco without any obligation to You; and (f) You are not entitled to any compensation for such Feedback.
anchor8. Your Obligations
anchor8.1 You will not intentionally (a) interfere with other Cisco end-user access to, or use of, the Cisco Technology, or with its security; (b) facilitate the attack or disruption of the Cisco Technology, including a denial of service attack, unauthorized access, penetration testing, crawling, or distribution of malware (including viruses, trojan horses, worms, time bombs, spyware, adware, and cancelbots); or (c) cause an unusual spike or increase in Your use of the Cisco Technology that negatively impacts the Cloud Service’s operation.
8.2 You may not use the Developers Site, App Hub Site or Services to advertise, promote, endorse or market, directly or indirectly, any products, services, offerings, solutions or other technologies that, in Cisco's sole discretion, compete with the products, services, offerings, solutions or technologies of Cisco.
8.3 You will not sell, resell, distribute, rent or lease Services, include Services, or otherwise commercialize Services except as integrated within your App.
8.4 You may not use any Cisco Data or others' data from the Developers Site, App Hub Site or Services in any advertisements or for purposes of targeting advertisements.
8.5 You may not use contact information of other users of the Developers Site, App Hub Site and Services to contact such users outside of the Developers Site, App Hub Site or Services without their consent.
8.6 You represent and warrant that (i) You are 13 years or older; (ii) You own or have the necessary rights and licenses to Your Apps, Your Names and Your Content to be used by Cisco as provided under these Terms of Service; and (iii) Your use of the Developers Site, App Hub Site and Services and Your Apps comply with all applicable laws and will not violate any applicable law or regulation, including privacy laws, of any country in which Your Apps are made available, or rights of any third party, including but not limited to privacy, publicity or intellectual property rights.
8.7 You acknowledge and agree that Cisco does not certify, warrant or support Your App and You represent and warrant that You will not make any statements to the contrary that imply an endorsement, certification, warranty or support of Your Apps by Cisco or Your affiliation or partnership with Cisco.
8.8 You acknowledge and agree that Cisco is not responsible for Your conduct or the conduct of any other user of the Developers Site, App Hub Site and Services.
8.9 If any portion of the Developers Site, App Hub Site or Services requires You to register, You will provide true and accurate information in Your user profile.
8.10 You are solely responsible for Your interactions with other users of the Developers Site, App Hub Site and Services.
8.11 You must present a privacy policy to Your App’s end-users. Your privacy policy must meet applicable legal standards and accurately describe Your collection, use, storage and sharing of any personal data.
8.12 When using guests created via Guest Issuer or Service Apps along with the Services, You may enable communications between guests (users not licensed for Webex) and Cisco Webex paid subscribers only or the licensed guest-to-guest Service App, unless otherwise expressly authorized by Cisco in writing. Enabling communication between guests only (non-licensed users) and/or guests and Cisco Webex free users is prohibited.
8.13 You are solely responsible for the development, maintenance, and support of Your App.
8.14 You will design, develop and operate Your App in a way that does not contain any security vulnerabilities. If Your App stores personal or sensitive information provided by end-users, it must do so securely.
8.15 You are responsible for maintaining the confidentiality of Your Developer Site credentials and You are solely responsible for all Apps that are developed under Your credentials.
8.16 You will not scrape, or otherwise create copies of any data obtained using the Services except as necessary to enable the intended feature of your App and with express consent of Cisco’s end-users.
8.17 Your App should operate as stated or promoted when submitted to the App Hub Site or for use with Webex.
anchor9. Cisco's Rights
anchorCisco may amend the Terms of Service from time to time. If You do not agree with such changes, You should discontinue using the Developers Site, App Hub Site and Services and remove all Your Apps from the App Hub Site. Your continued use of the Developers Site, App Hub Site and Services and listing of Your Apps on the App Hub Site will mean that You agree to such changes to the Terms of Service.
anchor10. Support
anchorCisco's Webex Developer Support team may be available to help You with the Developers Site, App Hub Site and Services. There are two ways to get support. If Your question is private or You have sensitive logs to share, email via devsupport@webex.com devsupport@webex.com may be the best option. Otherwise, Cisco has a Webex space with Webex Developer Support team and other community members ready to help You out https://developer.webex.com/support. Notwithstanding the foregoing, Cisco is not obligated to provide any support to you for the Developers Site, App Hub Site, or Services.
anchor11. Disclaimer of Warranties
anchorCISCO PROVIDES THE DEVELOPERS SITE, APP HUB SITE, SERVICES AND CISCO TRADEMARKS ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL EXPRESS AND IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SATISFACTORY QUALITY, NON-INTERFERENCE, AND ACCURACY, ARE HEREBY EXCLUDED AND EXPRESSLY DISCLAIMED BY CISCO. CISCO DOES NOT WARRANT THAT THE DEVERLOPERS SITE, APP HUB SITE AND SERVICES ARE SUITABLE FOR YOUR USE, AND NO SERVICES THAT YOU RECEIVE FROM THE DEVELOPERS SITE AND APP HUB SITE SHALL CREATE ANY WARRANTY.
anchor12. Indemnity
anchorYou agree to defend, indemnify and hold Cisco, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, action or demand (including reasonable attorneys' fees) any third party may have arising out of or related to: (i) Your use of the Developers Site, App Hub Site or Services; (ii) Your breach of these Terms of Service; (iii) Your improper use of Cisco Trademarks; (iv) Your Apps; and (v) You use of end -user data, including Webex Data.
anchor13. Limitation of Liability
anchorEXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT SHALL CISCO BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFIT DAMAGES, COSTS OF REPLACEMENT GOODS OR LOSS OF OR DAMAGE TO DATA ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OR INABILITY TO USE THE DEVELOPERS SITE, APP HUB SITE OR SERVICES, OR THE IMPROPER USE OF CISCO TRADEMARKS, EVEN IF CISCO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, CISCO'S LIABILITY TO YOU FOR ANY CAUSE(S) WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO ONE THOUSAND UNITED STATES DOLLARS (USD $1,000.00). THIS LIMITATION OF LIABILITY IS CUMULATIVE AND NOT PER INCIDENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN KINDS OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
anchor14. Term and Termination
anchorThe Terms of Service start on the date You begin using the Developers Site, App Hub Site and Services and end when Your use of the Developers Site, App Hub Site and Services are discontinued, and Your Apps are removed from the App Hub Site . Cisco may modify or terminate Services or stop maintaining the Developers Site or App Hub Site at any time and without notice. Cisco may immediately suspend or terminate Your access to the Developers Site, App Hub Site and Services, and remove Your Apps from the App Hub Site if in Cisco’s sole discretion You violate or otherwise fail to comply with these Terms of Service.
The following Sections survive any termination of these Terms of Service: 4.1, 4.3, 5-9 and 11-16.
anchor15. Export
anchorServices are subject to local and extraterritorial export control laws and regulations. Cisco and You agree to comply with such laws and regulations governing use, export, re-export, and transfer of Services and will obtain all required local and extraterritorial authorizations, permits or licenses.
anchor16. General
anchorThese Terms of Service shall be governed by and interpreted in accordance with the laws of the State of California, excluding its conflict of laws provisions. If any provision of these Terms of Service is judged illegal, invalid, or otherwise unenforceable, that provision shall be severed, and the rest of these Terms of Service shall remain in full force and effect. No failure by Cisco to enforce any of its rights related to the Developers Site, App Hub Site or Services or to a breach of these Terms of Service in a particular situation will act as a waiver of such rights.
